Soho House has completed its merger and is now a private company.
As AFROTECH™ previously reported, Soho House was founded in 1995 by restaurateur Nick Jones in London. It was created as a club for creatives and attracted members across the fashion, art, music, and media worlds, as well as high-profile celebrities.
Memberships start at $750 per quarter or $3,000 annually, with reduced rates for those under 27. Members can gain access to more than 48 Soho Houses worldwide, offering amenities such as spas, gyms, and screening rooms, as well as stays in bedrooms, cabins, lofts, or apartments, according to the company’s website. Membership also includes access to the Soho Health Club, which combines fitness, holistic wellness, and upgraded technology.
Soho House had almost 260,000 members as of 2024, according to Fortune. The membership club previously closed applications because locations had become overcrowded, particularly in New York, Los Angeles, and London, as AFROTECH previously reported. Challenges with profitability pushed the company to go private in a deal estimated at $2.7 billion, with shareholders receiving $9 a share, Reuters reported.
Merger Complete
According to The Caterer, Soho House has merged with its parent company, EH Parent, and EH MergerSub to become a private company in a $2.7 billion deal. To finance the merger, Soho House Holdings Limited “entered into a $220 million senior unsecured notes facility and Soho House Bond Limited issued $695 million in senior secured notes,” Investing.com reports. Soho House also amended and extended its revolving credit facility to January 31, 2029, per the outlet.
In addition, the outlet notes that Soho House instituted changes to its board of directors. Ron Burkle, Richard Caring, Mark Ein, Joe Hage, R. Tyler Morse, George Popstefanov, Reed Rayman, Scott Stedman, and Ashton Kutcher will now sit on the board.
“This is a positive step. It gives us the freedom to focus on what Soho House has always been about: looking after our members, creating Houses you enjoy spending time in, and continuing to connect members in the world’s most inspiring cities… We have an exciting year and future ahead of us,” said CEO Andrew Carni in an email obtained, per Page Six.
Some of that excitement includes launching Soho House Festival in New York, hosting an international Wellness Summit at its Miami locations, and opening Soho House Tokyo, per the organization’s website.
